{"id":311,"date":"2020-09-02T12:14:10","date_gmt":"2020-09-02T09:14:10","guid":{"rendered":"http:\/\/rilaniadvocates.legal\/?p=311"},"modified":"2025-01-10T12:57:01","modified_gmt":"2025-01-10T12:57:01","slug":"tech-companies-and-30-shareholding-in-kenya","status":"publish","type":"post","link":"https:\/\/rilaniadvocates.legal\/index.php\/2020\/09\/02\/tech-companies-and-30-shareholding-in-kenya\/","title":{"rendered":"Tech Companies and 30% Shareholding in Kenya"},"content":{"rendered":"\n<p>On 7<sup>th<\/sup> August 2020, the <a href=\"https:\/\/www.ict.go.ke\/wp-content\/uploads\/2019\/12\/NATIONAL-ICT-POLICY-2019.pdf\">Ministry of ICT gazette the ICT Policy<\/a>, 2020, a culmination of a long journey that started in 2016 with the <a href=\"http:\/\/icta.go.ke\/pdf\/National-ICT-Policy-20June2016.pdf\">Draft 2016 ICT Policy.<\/a><\/p>\n\n\n\n<p>In&nbsp; this <a href=\"https:\/\/www.ict.go.ke\/wp-content\/uploads\/2019\/12\/NATIONAL-ICT-POLICY-2019.pdf\">policy<\/a>, the government seeks to, under equity&nbsp; participation, enforce&nbsp;&nbsp; the&nbsp;&nbsp; requirement&nbsp;&nbsp; that&nbsp;&nbsp; only companies with at least <a href=\"https:\/\/www.standardmedia.co.ke\/business\/article\/2001381825\/foreign-firms-to-cede-30pc-stake-under-new-law\">30%<\/a> substantive <a href=\"https:\/\/www.standardmedia.co.ke\/business\/article\/2001381825\/foreign-firms-to-cede-30pc-stake-under-new-law\">Kenyan ownership<\/a>, either corporate or individual will be licensed to provide <a href=\"https:\/\/en.wikipedia.org\/wiki\/Telecommunications_in_Kenya\">ICT services.<\/a><\/p>\n\n\n\n<p>Licensees will have 3 years to meet the local equity ownership threshold. However, the policy allows a one-year extension which may be obtained from the <a href=\"https:\/\/ict.go.ke\/\">Cabinet Secretary<\/a> by applying for the extension with appropriate acceptable justifications.<\/p>\n\n\n\n<p>Currently, the requirement is that licensed companies must accomplish 20% local shareholding within 3 years which the <a href=\"https:\/\/ca.go.ke\/\">Communications Authority<\/a>, as the sector regulator has been enforcing.<\/p>\n\n\n\n<p>We expect that the gazetting of the <a href=\"https:\/\/www.ict.go.ke\/wp-content\/uploads\/2019\/12\/NATIONAL-ICT-POLICY-2019.pdf\">ICT Policy<\/a>, 2020 will see the immediate implementation of&nbsp; the&nbsp; 30% rule as Communications Authority, has&nbsp; the&nbsp; power&nbsp; to&nbsp; do&nbsp; so,&nbsp; drawn&nbsp; from&nbsp; Regulations 4 and 9 of the&nbsp; KICA(Licensing and Quality of Service) Regulations, 2010, which provide that an entity applying&nbsp; for a license shall ensure that its shareholding conforms to the prevailing Government&nbsp; communications sector policy that is published from time to time.<\/p>\n\n\n\n<p>Therefore, affected companies have a maximum of 4 years to comply with the <a href=\"https:\/\/www.ict.go.ke\/wp-content\/uploads\/2019\/12\/NATIONAL-ICT-POLICY-2019.pdf\">local shareholding requirement.<\/a><\/p>\n\n\n\n<p>&nbsp;The <a href=\"https:\/\/ca.go.ke\/\">Communications Authority enforces<\/a> and monitors the requirement for the prevailing local shareholding in two ways.<\/p>\n\n\n\n<ol class=\"wp-block-list\" type=\"a\"><li>At the license application stage where an applicant is required to provide information on its&nbsp;&nbsp;&nbsp; shareholding and that of any companies that hold shares in the applicant.<\/li><li>After issuance of the license, with the annual reporting by way of annual returns which should indicate shareholding information.<\/li><\/ol>\n\n\n\n<p>The Communications Authority issues annual compliance certificates to licensees who have met all the requirements for the year.
